California LLC Checklist: Decisions Before Filing
A useful business launch file starts with the decisions the owners have made. A filing form cannot resolve an unclear ownership deal. This checklist helps you organize the decisions and records before preparing your California LLC paperwork.
1. Describe the business precisely
Write down what you will sell, who will buy it, where the work will occur, and whether anyone needs a professional or occupational license. List every operating city and county. This makes the later permit and entity review concrete.
2. Identify the owners and their contributions
Make a table with each proposed owner's legal name, contribution, ownership percentage, and the date the contribution is due. Separate cash from equipment, intellectual property, services, and future promises. Record anything the owners have not agreed on. Do not let a convenient template silently decide the economic bargain.
3. Decide who can act for the company
Discuss ordinary purchases, contracts, borrowing, bank access, hiring, and major decisions. Note which actions one person can take and which require approval. California's Secretary of State explains that LLCs may be managed by members or managers. It also explains that an operating agreement is required, is maintained with the company's records, and is not filed with the Secretary of State. Read the official entity-types guidance.
4. Build the first-year task list
Create a register with these columns: task, responsible person, official source, due date, cost, and completion evidence. Include formation, state statements, tax setup, local permissions, insurance, bookkeeping, and any employee-related setup that applies. Look up the current requirements for the actual business; a general checklist is the starting point for that research.
5. Check whether a simple agreement fits
Outside investors, equity earned through work, special distributions, noncash contributions, and unusual control rights deserve a clearly documented decision before you choose a standard agreement. Our package describes the eligibility conditions for its included single-member and multiple-member forms.
See the California Small Business & LLC System for the launch workbook, guides, agreements, and recordkeeping tools. Government filing fees and business operating expenses are separate from the package price.
